Independent News and Media's sale of 23 London newspaper titles for €88m has been referred to the UK's competition authority by the British Department of Trade & Industry.
INM is selling the titles to US media giant Gannet, as part of a plan to reduce its debt levels.
A spokesman for INM said the referral was expected and was not likely to upset the deal.
