Domino's Pizza Group is to take full control of its biggest Irish franchisee in a deal worth more than €90m.
The pizza group will buy the 85% of Shorecal Limited that it does not already own, for €72m.
It will also repay the near €20m in debt that is outstanding at the business.
Shorecal operates 34 of the 99 Domino's stores on the island of Ireland.
It is currently owned by Charles, Adrian and Anne Caldwell, and SC Holdings.
The deal is still to subject to competition approval and is expected to complete by May this year.
Andrew Rennie, DPG's chief executive, said the company believes there is a significant opportunity for it in Ireland and it is now in an even stronger position to accelerate its growth and open new stores.
Charles Caldwell of Shorecal said that Adrian and he are proud to have grown Shorecal over the years to create a strong business, delivering great products to customers across Ireland.
"We are delighted that DPG and the Shorecal team led by George Bertram, CEO, will take the business forward and continue delivering outstanding service to our customers," he added.
